standard general conditions of sale 1.0 orders orders shall not bind seller unless and until accepted by seller s written confirmation or by delivery to buyer of the products ordered and are subject to the present conditions of sale which are meant to be fully known and accepted by the buyer possible deviations to these conditions of sale have to be agreed in writing for special products or colors the minimum quantity has always to be confirmed by the customer service and it can be supplied with a difference up to 10 of the requested quantity for the stock items and according to the stock availability colorificio zetagi srl reserves the right to partially supply the order and to balance it as soon as possible the minimum order is worth euro 1000,00 one thousand/00 ex works creazzo warehouse smaller amount orders have to be formerly accepted by colorificio zetagi srl and they have to be paid cash in advance if at any time the buyer exceeds its credit limit with seller or is overdue with payments then the seller may without liability or prejudice to its rights suspend all its obligations and cancel further deliveries under contract with buyer 2.0 force majeure events beyond the reasonable control of either party shall relieve seller of its obligation to deliver and buyer of its obligation to take delivery and entitle either party to withdrawn from the contract to the extent that delivery has not taken place 3.0 deliveries and shipments products are sent at buyer s risk even when shipped free of charge possible expenses caused by stays of the goods in transit stocks untaken delivery or goods returns will be charged at cost transportation will be made only by people and trucks approved by the existing rules and laws especially those dealing with dangerous goods carriage free shipment can be granted only for orders amount greater than euro 1000,00 mille/00 air freight or shipments through special carriers will be charged at cost free shipments to minor islands will be delivered to the closer loading port special shipments have to be agreed by the seller clients are requested when taking delivery to verify the condition of the products and to let the carrier know in writing any possible damage or difference in quantity and to inform the seller in writing by 15 days 4.0 prices prices refer to the price list in force and exclude any value added tax or other tax which will be charged to the buyer according to the legislation in force at tax point date prices of two pack products refer to the mixed set base curing agent in case of purchase of the single pack base or curing agent full price list will apply the seller reserves the right to vary the price list without notice due to the unpredictable behavior of the raw material prices all sales are final and no refund will be offered for returned products irrespective of whether the products are subject of a complaint or not unless the seller has agreed in writing prior to such return and the returns arrive promptly and in good conditions in seller s opinion for special products or colors the sale price and the minimum quantity will be agreed case by case no returns of special products or colors are accepted it is buyer s responsibility to make sure that the color is the requested one before starting the painting operation colorificio zetagi srl has no liability for color difference not detected by the buyer before the application of the products 5.0 payments all invoices are payable at the place and time specified in the invoice if the buyer fails to pay the seller in full by the due date the seller will be entitled to charge interest at the rate of 4 percent per annum above the current discount rate of the central bank all seller s costs and expenses to collect overdue accounts shall be reimbursed by the buyer 6.0 packing unless otherwise agreed prices include seller s standard packing but exclude export crating seller gives no undertaking that when the products are supplied in containers of whatsoever type such containers are fit to withstand transport to any place or by any method other than specified special packing will be charged at cost 7.0 complaints complaints related to the quality or quantity of the products shall be made in writing within 15 days after the defect could reasonably have been discovered in order for the seller to make the appropriate checks buyer will report the lot numbers printed on the labels seller will have no obligation in respect of any claim unless the allegedly defective product is kept available for inspection by seller s representative and buyer provides the requested substantiation and evidence seller s liability in respect of product proved by buyer to be defective is limited to either refund the buyer of the purchase price or at seller s option a replacement of such product at their point of delivery provided that in any event seller s maximum liability in respect of any product proved to be defective shall not exceed its invoice value in no circumstances the seller will be liable for loss of profit or consequential damages or other loss of whatever nature arising from any such defects 8.0 applicable law jurisdiction all seller s contracts with buyer including these conditions shall be governed exclusively by the italian law the court of vicenza shall have sole jurisdiction unless seller decides to seek judgment at the appropriate court in buyer s country of domicile or the country of presence of the products applied or not applied 7
